Sermaye Piyasası Kurulu'nun 11-18.1 Kayıtlı Sermaye Sistemi Tebliği çerçevesinde, Şirket Esas Sözleşmesinin 6.maddesindeki kayıtlı sermaye tavanının 4.000.000.000.-TL'ye yükseltilmesine ve kayıtlı sermaye tavanı izin süresinin 2024-2028 yılları için 5 yıl süreyle uzatılmasına ilişkin, 13.08.2024 tarihinde yapılan genel kurulda kabul edilen Şirket Esas Sözleşmesi'nin "Sermaye ve Paylar" başlıklı 6.maddesinin tadil tasarısı İstanbul Ticaret Sicil Müdürlüğü tarafından 19 Ağustos 2024 tarihinde tescil ve ilan edilmiştir.
Bu Özel Durum Açıklaması Türkçe ve İngilizce hazırlanmış olup iki metin arasında herhangi bir çelişki olması durumunda Türkçe açıklama esas kabul edilecektir.

Kontrolmatik Technologies Inc. and Pomega Energy Storage Technologies Inc. have entered into a Memorandum of Understanding to establish an “Engineering and Solution Alliance†together that will “provide each other â€ËÅ“priorityâ€╠status in their areas of expertise.â€
Since the announcement the lithium-ion battery facility was coming to Colleton County in 2022, plans for construction of the factory have been in the works. The groundbreaking was held in February of 2023 with operations projected to begin in the third quarter of 2024. The plant was a multi-million dollar investment for Kontrolmatik Technologies and Pomega Energy Storage Technologies and was to create approximately 575 new jobs in Colleton County. The plant is to manufacture lithium-ion battery cells and produce the modules and other elements of the companyâ€â•s containerized energy storage solutions. Originally scheduled to be a 500,000 square feet, due to a capacity increase the site will be 650,000 upon completion. Currently, Kontrolmatik and Pomega are involved in a legal matter with the company that helped them find the location in Colleton County. The matter involves the appropriate amount to be charged for services rendered by JLL (Jones Lang LaSalle Americas, Inc.) and payment.
Now Kontrolmatik and its subsidiary Pomega have partnered with Siemens. Siemens is “a technology company focused on industry, infrastructure, transport, and healthcare. From more resource-efficient factories, resilient supply chains, and smarter buildings and grids, to sustainable transportation as well as advanced healthcare, [they] create technology with purpose...â€. Kontolmatik states they expect this agreement “to accelerate our energy storage operations in North America and optimize and standardize the use of Siemens solutions...at the LFP battery factory in South Carolina...â€.
Both Kontolmatik/Pomega and Siemens are looking forward to the collaboration and what it means for not only their global operations, but also their operations in North America such as in South Carolina.
Currently the projected timeline for completion of the facility is late 2024.

Kontolmatik, bu anlaşmanın "Kuzey Amerika'daki enerji depolama operasyonlarımızı hızlandırmasını ve Güney Carolina'daki LFP pil fabrikasında... Siemens çözümlerinin kullanımını optimize etmesini ve standartlaştırmasını" beklediklerini belirtiyor.
Hem Kontolmatik/Pomega hem de Siemens, işbirliğini ve bunun yalnızca küresel operasyonları için değil, aynı zamanda Güney Carolina gibi Kuzey Amerika'daki operasyonları için ne anlama geldiğini de sabırsızlıkla bekliyor.

The market for batteries and sustainable energy solutions is growing rapidly. As such, there is a need for the decarbonization of transportation and energy systems enabled through a highly sustainable value chain for batteries. Siemens is collaborating with Kontrolmatik, a systems integrator and a global EPC leader in power generation, transmission, and distribution, and its subsidiary Pomega Energy, a battery manufacturer, both based in McLean, Virginia. The collaboration is focused on building a sustainable global battery ecosystem to enable the transition to a more sustainable energy system. In addition, with a combined focus on education, workforce, and research, the three companies have an alliance with the University of South Carolina, where Pomega has built a pilot battery production line featuring Siemens automation and software solutions, scheduled for completion at the end of 2024. Through Siemens’ collaboration with academia, they have donated much of the software at USC.

Siemens and Kontrolmatik will work together closely to expand the US battery energy storage industry with customized end-to-end solutions made in the United States. Pomega’s PΩCenter in South Carolina will be one of the first facilities in the US exclusively dedicated to LFP solutions for utility and residential battery storage.
