The merger transaction with Tukaş Dış Ticaret Anonim Şirketi, which is a 100% subsidiary of our company, in a facilitated manner through acquisition, which was arranged in accordance with the provisions of Article 13 of the Merger and Division Communiqué numbered II-23.2 of the Capital Markets Board, Articles 136 and subsequent articles of the Turkish Commercial Code, and Articles 18, 19 and 20 of the Corporate Tax Law, was approved by the Capital Markets Board with its decision dated 27.02.2025, and was registered by the Torbalı Trade Registry Office on 04.03.2025 and published in the Turkish Trade Registry Gazette dated 05.03.2025 and numbered 11285, as announced in our KAP notification dated 05.03.2025. Since our Company does not have any subsidiaries after the merger, there is no obligation to prepare consolidated financial statements. Financial Reports prepared after this date, including the Financial Reports dated 01.01.2025 - 31.03.2025, will be announced to the public as solo.
